do i need to uninstall the old version first and then install the new version or does it simply upgrade the old version?

I'd recommend uninstalling, though you should technically be able to install over it.

i have downloaded the new version and when i try to install the program
i get an error saying it can't write the file? in any case it won't install the
new version. i do have the old version and haven't uninstalled it but didn't
think it would matter. can anyone help?

That means you're running a copy. Reboot, then reinstall.

u dont need to reboot, pres Ctrl + Alt + Delete, go to processes and "end process" on "btdownloadgui.exe"
